A public company is a registered company other than a Proprietary Company.

Public Company Requirements
A public company must have:
- At least 3 Directors (2 of whom must ordinarily reside in Australia)
- At least 1 Secretary (who can be one of the Directors) and one of whom must ordinarily reside in Australia)
- 1 Member
- Registered Office
- Principal Business Office
Further Information
Unlike a Proprietary Company which is restricted in its power to issue shares and also to the number of members (no more than 50 non employee members), a public company may issue shares to an unlimited number of members provided that the Fundraising Provisions of Chapter 6D of the Act are complied with.
When a company is registered under the Corporations Act 2001 ('Act') it is automatically registered as an Australian company. This means that it can conduct business throughout Australia without needing to register in individual State and Territory jurisdictions.
